Dassault Systèmes to merge with Centric Software
The company Dassault Systèmeshas announced an agreement to acquire a controlling stake in the company Centric Software– market leader in the field of digital transformation in the fashion, luxury goods industry and retail. Corporations plan to combine their efforts in order to accelerate the digital transformation of companies that are looking for new solutions for the increasingly complex process of creating collections that can meet modern trends and consumer needs in a market whose total volume is estimated at several billion dollars.
The company Centric Software with headquarters in Silicon Valley (USA, California)It has offices in 13 countries and develops software solutions for product lifecycle management, which are used by more than 600 internationally recognized brands, including ASICS, Bass Pro, Belle China, Bestseller, Etam, Kate Spade, Loblaws, Louis Vuitton, Michael Kors, Samsonite, Ted Baker, Tommy Hilfiger and others. The specialized Centric PLM platform for collaboration is used for merchandising planning, work on product specifications and cost scenarios, materials management, product procurement, collections management, deadlines and quality. The platform, available on desktops and mobile devices, helps manufacturers to increase work efficiency, accelerate the launch of new products to the market, increase sales and profits.

Under the terms of the agreement, Dassault Systèmes will acquire a controlling stake in Centric Software in cash, which, according to the choice of Centric Software shareholders, will be between 58% and 69% of the company's shares, and will also pay an advance payment in connection with the acquisition of the remaining shares, which will take place in 2020 and 2021. The full amount for the acquisition of all 100% of Centric Software shares will depend on the growth of Centric Software revenue and on the profitability of the company in the next two years, which will be in the range of four to six times the company's revenue for 2019 and 2020.
